Terms of Service

Last updated 29 October 2026. These Terms of Service ("Terms") are an agreement between Vijayastra Technologies Private Limited (CIN U62011TS2026PTC224711) ("Vijayastra", "we", "us"), which provides the Karnovate business software suite, and the business that creates a Karnovate account ("Customer", "you"). They apply to karnovate.com, the Karnovate products and workspaces, and our free calculators (together, the "Services"). By creating an account, starting a trial or paying for a subscription, you agree to these Terms on behalf of your business. These Terms are an electronic record under the Information Technology Act, 2000 and do not need a physical or digital signature.

1. Who can use Karnovate

The Services are for businesses and professionals, not for personal or household use. The person who signs up must be at least 18, able to enter a binding contract under the Indian Contract Act, 1872, and authorised to accept these Terms for the business they name.

2. Your account and workspace

  • You must give accurate, complete information when you sign up and keep it up to date, including your company's address, GSTIN and contact details.
  • Each customer gets its own workspace. The account owner and the administrators they appoint control who can use it and what each user can see.
  • You are responsible for everything done under your users' sign-ins. Keep passwords confidential, use the security settings available (such as multi-factor authentication), and tell us at once if you suspect unauthorised access.
  • You are responsible for your users' compliance with these Terms.

3. Plans, trials and subscriptions

  • Each Karnovate product has a free plan and paid tiers, priced per user or per workspace for a monthly or annual billing cycle, as shown on our pricing page and at checkout. Karnovate One includes every product at its top tier.
  • Eligible products start with a 15-day free trial. You may start a trial without a payment method; to keep using paid features after the trial, add a payment method or pay before it ends. If you set up auto-debit for a trial, the first charge is taken when the trial ends unless you cancel before then. One free trial is allowed per business.
  • A subscription runs for the billing cycle you choose and renews for the same cycle. With auto-renew on, renewals are charged to your payment method; with it off, you pay each renewal from Billing in your workspace before it is due.
  • You may add products or users at any time; Billing shows what the change costs before you confirm it. Reductions take effect from the next cycle.

4. Fees, GST and payment

  • Prices are in Indian rupees unless shown otherwise and are exclusive of Goods and Services Tax (GST) and other applicable taxes, which are charged in addition at the prevailing rate (currently 18% for software services). We issue GST-compliant tax invoices; give us your GSTIN so you can claim input tax credit.
  • Payments are processed by Razorpay. Auto-debit by card or UPI Autopay uses an e-mandate under the Reserve Bank of India's rules on recurring payments: you authorise the mandate, receive a notice before each debit, and may cancel it at any time through your bank, UPI app or Billing in your workspace.
  • Before the first payment we verify your business (GSTIN, PAN and an authorised signatory). We may refuse or reverse a payment we reasonably believe to be fraudulent.
  • If a renewal payment fails, we will tell you and retry during a grace period of 30 days. If the amount is still unpaid when the grace period ends, we may suspend paid features until it is paid. Your data is not deleted because of a suspension.
  • We may change prices with at least 30 days' notice. New prices apply from your next renewal; if you do not agree, you can cancel before it.

5. Cancellation and refunds

  • You can cancel a subscription you signed up for online at any time from Billing in your workspace. Cancellation takes effect at the end of the current billing cycle, or of the free trial, and you keep full access until then. Until that date you can change your mind and keep the subscription.
  • Cancelling a free trial before it ends means you are not charged. A subscription arranged through a Karnovate account manager is cancelled through them, under the terms of that agreement.
  • Fees are charged in advance for each billing cycle and are not refundable, in full or in part, including for unused time, users or products, or for a cycle in which you cancel. The exceptions are a charge we made in error, such as a duplicate payment, which we refund in full, and any refund the law requires.
  • When you set up card auto-debit, Razorpay takes an authorisation of ₹1 to register the mandate and refunds it automatically.
  • Refunds are returned to the original payment method, usually within 5 to 7 working days of approval.

6. Your data

  • Everything you and your users put into Karnovate (employees, customers, vendors, transactions, documents and other content, "Customer Data") belongs to you. You give us only the rights we need to host, process, back up and display it to provide and support the Services.
  • For personal data in Customer Data, you are the Data Fiduciary and we are your Data Processor under the Digital Personal Data Protection Act, 2023. We process it only on your instructions and to provide the Services, keep it confidential, protect it with reasonable security safeguards, use service providers bound by equivalent obligations, tell you without undue delay of a personal data breach affecting it, and help you respond to requests from Data Principals and the Data Protection Board.
  • You are responsible for having a lawful basis, including notices and consents where required, for the personal data you put into Karnovate, and for its accuracy.
  • You can export your data at any time while your subscription is active, and after a free trial ends unpaid. When a subscription ends we keep the workspace for 90 days, as our Privacy Policy describes, then close it and delete its data, except records the law requires us to keep.
  • Our Privacy Policy explains how we handle personal data for which we are the Data Fiduciary.

7. Acceptable use

You must not, and must not let anyone else:

  • use the Services for anything unlawful, fraudulent or infringing, including content prohibited by the Information Technology Act, 2000 and the rules under it;
  • send spam or unsolicited messages through Karnovate's email, SMS or campaign features, or messages that breach TRAI's regulations on commercial communications;

  • upload malware, or interfere with or overload the Services;
  • copy, resell, sublicense or reverse engineer the Services, or use them to build a competing product.

8. Our intellectual property

The Services, the software, designs and documentation, and the Karnovate™ name and logo belong to Vijayastra Technologies Private Limited. We give you a non-exclusive, non-transferable right to use the Services for your internal business purposes during your subscription. If you send us feedback or suggestions, we may use them without obligation to you.

9. Free calculators

Our GST, TDS, depreciation, payroll and income-tax calculators give estimates based on the rules as we understand them on the date shown. They are not tax, legal or financial advice and may not reflect your circumstances or the latest changes in law. Check important figures with a qualified professional before relying on them.

10. Third-party services

Some features rely on or connect to services we do not control, such as payment gateways, banks, government portals (for example, the GST and e-invoicing systems), email and SMS providers. Your use of those services is subject to their terms, and we are not responsible for their availability or acts.

11. Availability, support and changes

We work to keep the Services available and secure, with planned maintenance announced in advance where we can. We provide support by email and in the product. We improve the Services continuously and may change or retire features; we will not materially reduce the core functionality of a paid product during a billing cycle you have paid for.

12. Suspension and termination

  • You may stop using the Services and close your account at any time.
  • We may suspend access, with notice where practicable, if you materially breach these Terms, fail to pay, or if your use threatens the security or integrity of the Services or breaks the law.
  • Either party may terminate for a material breach that is not cured within 30 days of written notice.
  • On termination your right to use the Services ends, and sections 4 (for amounts due), 6, 8, 13, 14, 15 and 16 continue to apply.

13. Warranties and disclaimers

We will provide the Services with reasonable skill and care. Apart from that, and to the extent the law allows, the Services are provided "as is" and "as available", without other warranties, express or implied, including of merchantability, fitness for a particular purpose or uninterrupted operation. You are responsible for checking the accuracy of filings, returns, payroll and invoices you make with the help of the Services.

14. Limitation of liability

  • Neither party is liable for indirect, incidental, special or consequential losses, or for loss of profit, revenue, goodwill or data that could have been prevented by reasonable backups, even if told they were possible.
  • Our total liability arising out of or relating to these Terms is limited to the fees you paid us for the Services in the 12 months before the event giving rise to the claim.
  • These limits do not apply to liability that cannot be limited by law, to fraud, or to your obligation to pay fees.

15. Indemnity

You will indemnify us against third-party claims, and the losses and reasonable costs that result, arising from Customer Data or from your or your users' breach of these Terms or of the law.

16. Governing law and disputes

These Terms are governed by the laws of India. The parties will first try to settle any dispute through good-faith discussion for 30 days. A dispute that is not settled will be referred to arbitration by a sole arbitrator appointed by mutual agreement under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration is Hyderabad, Telangana, and the language is English. Subject to this, the courts at Hyderabad, Telangana have exclusive jurisdiction.

17. General

  • Changes: we may update these Terms. We will post the new version here and give account owners at least 30 days' notice of material changes by email or in the product. Continuing to use the Services after the changes take effect means you accept them.
  • Force majeure: neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, epidemics, war, government action or failures of public networks.
  • Assignment: you may not transfer these Terms without our written consent. We may transfer them to a successor of our business.
  • Entire agreement: these Terms, the Privacy Policy and any order or plan details you accept are the whole agreement between us about the Services. If any part is unenforceable, the rest remains in effect. Not enforcing a right is not a waiver of it.
